I keep seeing data room mentioned in fundraising discussions and wanted to actually understand what is a data room before assuming it is just a folder of documents you send over. Here is what I have pieced together so far, would appreciate anyone correcting me or adding context.
A data room is a secure, organised space, usually a virtual one, where you store all the documents an investor would need to do due diligence, rather than emailing files back and forth as they are requested. It typically includes financial documents, like historical statements, cap table, and projections. It also includes legal documents, incorporation papers, IP ownership records, employment contracts, and shareholder agreements. Product and market materials often go in too, things like the pitch deck, customer references, and competitive analysis.
What I am still trying to understand is how early founders should actually build this out, whether it makes sense to have it ready before you start pitching or only once you get serious interest.
Has anyone here actually put together a data room before raising? Curious what tools you used, what investors actually asked for that surprised you, and anything you wish you had organised sooner.
Found a fairly clear explanation of this on Entrepreneur Plus while I was reading around the topic, helped me understand the founder side of it a bit better.
